These Terms of Use (“Terms”) govern your access to and use of the MaxwellX website, public pages, interactive models, forms, source library, research materials, collaboration materials, and related online features (collectively, the “Site”).
The Site is operated by Maxwell Explorations, Inc. doing business as MaxwellX by Maxwell Explorations (“MaxwellX,” “we,” “us,” or “our”).
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. The Site is informational and research-stage
MaxwellX publishes educational, scientific, research-stage, and company information. The Site may discuss physics, geometry, fields, light, materials, measurement, FieldLab activity, modeling, interfaces, energy-transfer research, micro/nano systems, biological field-response research, and frontier systems.
The Site is not a substitute for qualified professional advice. The Site does not provide medical, therapeutic, legal, investment, tax, safety, regulatory, engineering, or professional advice.
2. No medical, therapeutic, or health claims
MaxwellX does not provide medical advice through the Site. No Site content should be used to diagnose, treat, cure, prevent, mitigate, or manage any disease, injury, condition, symptom, or personal health issue.
Do not use Site content to perform self-treatment, human testing, animal testing, biological exposure, laser exposure, RF exposure, high-voltage exposure, or experimental procedures. Any biological, human, animal, clinical, or medical work requires qualified professionals, appropriate approvals, ethics review, safety review, and applicable regulatory compliance.
3. No validated energy, propulsion, or investment claims
Unless expressly stated in a signed agreement or officially published validated report, MaxwellX does not represent that it has a commercial energy-generation device, medical device, therapeutic device, propulsion system, or validated product.
References to FieldLab, experimental paths, frontier systems, models, educational simulations, or research programs are not product performance guarantees.
4. Educational models and simulations
Interactive models and calculators on the Site are educational tools. They may simplify physics, assumptions, geometry, material response, thermal behavior, boundary conditions, roughness, measurement uncertainty, and instrumentation effects.
Do not rely on educational models for engineering design, safety decisions, medical decisions, financial decisions, legal decisions, or product development without professional review and independent validation.
5. Eligibility
You may use the Site only if you can form a binding contract with MaxwellX and only in compliance with these Terms and applicable law. The Site is not directed to children under 13.
6. Accounts and members areas
If the Site includes login, members, team, private, or collaborator areas, access is granted at MaxwellX’s discretion. You are responsible for keeping login credentials confidential and for all activity under your account.
MaxwellX may suspend or terminate access for security reasons, misuse, violation of these Terms, suspected unauthorized access, or any other reason permitted by law.
7. User submissions
You may be able to submit contact information, messages, resumes, papers, proposals, patents, invention descriptions, code links, project links, files, or other materials (“Submissions”).
By sending a Submission, you represent that you have the right to submit it and that it does not violate law or third-party rights.
Unless MaxwellX has signed a separate written confidentiality agreement with you, do not submit trade secrets, patent-sensitive technical details, controlled technical data, private health information, confidential employer information, or other sensitive material. Initial web submissions are for screening and routing only.
Our User Submissions and Idea Policy applies to all Submissions.
8. Your license to MaxwellX
For ordinary Site submissions, you grant MaxwellX a non-exclusive, worldwide, royalty-free license to receive, store, copy, evaluate, route, review, and respond to your Submission for the purpose of operating the Site, evaluating collaboration, conducting recruiting, performing administrative review, protecting security, and complying with law.
This license does not transfer ownership of your inventions, patents, copyrights, or other intellectual property. IP ownership, confidentiality, collaboration, publication, and commercialization require separate written agreement.
9. MaxwellX intellectual property
The Site, including text, designs, graphics, logos, models, software, source organization, diagrams, page layout, and other materials, is owned by MaxwellX or its licensors and is protected by intellectual property laws.
You may view the Site for personal, informational, non-commercial use. You may not copy, scrape, reproduce, distribute, modify, sell, reverse engineer, remove notices, or create derivative works from Site content except as permitted by law or with written permission.
10. Scientific sources and third-party references
The Site may link to papers, universities, publishers, government agencies, journals, repositories, facilities, companies, researchers, or institutions. These references are provided for research context. Mention does not imply affiliation, sponsorship, approval, endorsement, or partnership.
Third-party sites have their own terms and privacy practices. MaxwellX is not responsible for third-party content.
11. Prohibited conduct
You may not:
- violate law or third-party rights;
- submit unlawful, harmful, deceptive, infringing, defamatory, obscene, or abusive content;
- attempt unauthorized access;
- interfere with security or operation;
- scrape, harvest, or bulk-download content without permission;
- upload malware or malicious code;
- impersonate others;
- misrepresent affiliation with MaxwellX;
- use Site content to create unsafe devices or procedures;
- use Site content to claim medical, energy, or propulsion performance without independent validation and written authorization.
12. Copyright complaints
If you believe content on the Site infringes your copyright, follow the DMCA Copyright Policy.
13. Privacy
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.
14. Availability and changes
The Site may change at any time. MaxwellX may modify, suspend, or discontinue any part of the Site without notice.
15. No warranties
The Site is provided “as is” and “as available.” MaxwellX disclaims all warranties to the fullest extent permitted by law, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
16. Limitation of liability
To the fullest extent permitted by law, MaxwellX and its officers, directors, employees, contractors, collaborators, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, or for loss of data, loss of goodwill, device failure, experimental harm, business interruption, or reliance on Site content.
To the fullest extent permitted by law, MaxwellX’s total liability for claims relating to the Site will not exceed the greater of: (a) the amount you paid MaxwellX to use the Site in the 12 months before the claim; or (b) USD $100.
Some jurisdictions do not allow certain limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.
17. Indemnity
You agree to defend, indemnify, and hold harmless MaxwellX from claims, damages, liabilities, losses, costs, and expenses arising from your use of the Site, your Submissions, your violation of these Terms, or your violation of law or third-party rights.
18. Governing law
These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law rules.
19. Dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
Either party may seek injunctive relief in court for intellectual property, confidentiality, or security matters. To the extent permitted by law, the parties waive any right to a jury trial and to participate in a class action.
20. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows the latest revision. Continued use of the Site after changes means you accept the updated Terms.
