User Submissions & Idea Policy

This Policy applies when you submit ideas, proposals, messages, resumes, papers, patents, invention concepts, code links, prototypes, diagrams, models, source lists, project summaries, or files to MaxwellX.
1. Initial submissions are not automatically confidential
Do not submit trade secrets, patent-sensitive technical details, confidential employer information, controlled technical data, export-controlled data, private health information, financial account information, or sensitive personal information through public forms.
Initial submissions through public website forms are for screening and routing. They are not automatically confidential, and they do not create an attorney-client relationship, fiduciary relationship, employment relationship, joint venture, partnership, or duty to compensate.
2. Protected review path
If your idea may be confidential or patent-sensitive, provide only a high-level, non-confidential summary at first. If MaxwellX is interested, MaxwellX may move the discussion into a protected review path with appropriate agreements.
3. Your ownership
You retain ownership of your pre-existing intellectual property.
Submitting an idea does not transfer patent ownership, copyright ownership, trade-secret ownership, or invention rights to MaxwellX unless a separate written agreement says so.
4. MaxwellX’s independent work
MaxwellX receives many ideas and works on broad scientific and technical areas. MaxwellX may already be working on similar or overlapping concepts.
By submitting materials, you understand that MaxwellX may independently develop, acquire, publish, or commercialize ideas, systems, or technologies that are similar to or overlap with your submission, provided MaxwellX does not violate a separate written agreement.
5. Limited license to review
You grant MaxwellX a limited, non-exclusive license to receive, store, copy, evaluate, route, summarize, and respond to your submission for review, recruiting, collaboration, safety, IP, administrative, and legal purposes.
6. No obligation
MaxwellX has no obligation to review, respond to, pursue, keep, return, protect, publish, or compensate any submission unless a separate written agreement applies.
7. Prohibited submissions
Do not submit:
- illegal material;
- malware or exploit code;
- information you have no right to share;
- confidential employer material;
- private data about others;
- medical records;
- data about children;
- export-controlled or restricted technical data;
- material that infringes third-party rights;
- unsafe instructions for weapons, harmful devices, or dangerous experimentation.
8. Applicant and collaborator submissions
Applicant and collaborator submissions are also governed by the Applicant and Collaborator Privacy Notice.
